  1. GENERAL

1.1  Applicable Laws.  When you (each, “your” or “User”) access, visit, use or engage with our website or any other online services we provide (collectively, the “Services”), you must be in compliance with all laws and regulations applicable to you based on your applicable jurisdiction. It is your exclusive responsibility to ensure that your use of the Services is compliant with the applicable laws and regulations.

Where Localcoin (“Localcoin”, “us”, “we” or “our”) believes that your use of the Services may not be fully compliant with applicable laws and regulations, including, but not limited to, where there is any reason to suspect that your use of the Services involves any prohibited activities or you otherwise fail to complete KYC and other compliance procedures, we may refuse to provide you the Services, process your transactions or accept you as a client, in addition to any other action which we may deem appropriate.

  1. FINTRAC

2.1 Current Policy. The Financial Transaction and Reports Analysis Centre of Canada (“FINTRAC”) is Canada’s anti money laundering (“AML”) and counter terrorist financing (“CTF”) financial intelligence unit (“FIU”) and regulator. It is responsible for monitoring compliance with the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (“PCMLTFA”).

2.2 Proactive Approach. Our mandate is to ensure our Services comply with all client identification record keeping and reporting obligations that we have under the PCMLTFA. We have proactively implemented and continue to develop an AML and CTF compliance program that includes measures to ensure our compliance with the PCMLTFA.

  1. SANCTIONS

3.1 Applicable Sanctions. You warrant that you will comply with all applicable international economic and export sanctions and any requirement therein. Without limiting the generality of the aforementioned, you will not use the Services available if any of the following applies to you:

​a. You are a national or resident of any country included in the US embargo, United Nations sanctions, HM Treasury’s Financial Sanctions (the “Restricted Territories”) or you intend to distribute or provide the acquired Virtual Currency or the Services to the Restricted Territories;  countries currently not supported include the Central African Republic, Democratic Republic of the Congo, Eritrea, Iran, Iraq, Lebanon, Libya, Mali, Myanmar, North Korea, Russia, Somalia, South Sudan, Sudan, Syria, Tunisia, Ukraine, Venezuela, Yemen, and Zimbabwe.

    1. Your name appears on the US Treasury Department’s Specially Designated Nationals Listor the US Commerce Department’s Denied Persons ListUnverified ListEntity List (the “Restricted Persons”) or you intend to distribute or provide the Services to any person of the Restricted Persons;
    2. You are on a prescribed sanctions list; and
    3. You refuse or fail to provide any of the designated KYC information a may be required by us from time to time.

  1. WHAT TYPE OF INFORMATION WE COLLECT

We may collect two types of data and information from you.

The first type of information is unidentified and non-identifiable information pertaining to you, which may be made available or gathered via your use of the Services (“Non-personal Information”). We are not aware of the identity from which the Non-personal Information is collected. Non-personal Information, which is information of an anonymous nature, such as an Internet Protocol Address (“IP Address”) provided it has been stripped of personal information, the domain used to access the Services, and the type and version of browser or operating system being used by visitors to the website. Aggregate information, such as demographic statistics of our users (e.g. average age or geographical allocation of our users), number of visitors, what pages users access or visit, and average time spent on the Services is not considered Personal Information.

The second type of information is individually identifiable information, namely information that identifies an individual or may with reasonable effort identify an individual (“Personal Information”), such as your name, e-mail address, phone number, and audio recording. At the time of collection, we will clearly identify the information being collected. It is always your choice whether or not to provide Personal Information but if you choose not to provide certain requested Personal Information, in some instances, you may not be able to register to use the Services or be able to access and use the Services at all. In other instances, your choice not to provide certain other Personal Information may mean that you will not be able to use certain features of the Services. We may collect Personal Information in respect of the Services through service purchases, communications with you, transaction and user authentication procedures, user support, and surveys.

Such information may include:

    • Basic Service: When you use our Services, we may ask you to provide Personal Information related to that transaction such as your name, mobile phone number, wallet address or other payment information, and email address. In general, none of your information will be shared with any other users of our Services. Using certain profile information, we may utilize third parties to extract additional information to help verify the authenticity and any background checks required on your profile, provide information related to that transaction, including such information as the amount of the transaction, the type of transaction and payment information.
    • Transaction Information: When you use our Services, we ask you to provide information related to that transaction, including such information as the amount of the transaction, the type of transaction and payment information. We retain this information for each of your transactions through the Services and may add this information to your profile to be used for future transactions that you may make with us. We also collect the IP address and other information about the computer or device you use to create or access our Services, in order to help detect possible instances of unauthorised or fraudulent transactions. Despite your indicated preferences, we provide notifications for certain activities relating to your use of our Services such as sending unique identification numbers to your mobile phone in order to verify purchases and confirmations to your email address when a transaction has been completed. We may also send you notices of any updates to our Terms of Service or Privacy Policy.
    • Communication Information: We may collect information from your communications with us. For example, when you communicate with us, or respond to communications from us, via email, chat, audio or video calls (“Communications”). We may record and keep all the Communications.
    • Website Traffic Information: Because of the way Internet communication standards work, when you arrive at or leave our Services, we automatically receive the web address of the site that you came from or are going to. We also collect information on which pages of our website you visit, IP addresses, the type of browser and operating system you use and the times you access our website. We use this information to try to understand our customers’ preferences better and to manage the load on our servers, so as to improve the Services.     • Payment Information: Users may only make purchases through our Services using one of the payment methods specified in our Terms of Service. Depending on the payment method, payment processing is a conducted by a third-party payment processor. All payment information is stored by the payment processor and not by us. Any Personal Information provided to Flexepin, Interac e-Transfer, or our payment processor for the purpose of processing a transaction will be treated in accordance with the terms of each company’s respective Privacy Policy, and we do not control and are not responsible for such company’s treatment of your Personal Information.

For avoidance of doubt, if we combine Personal Information with Non-personal Information, the combined information will be treated as Personal Information as long as it remains combined.

  1. HOW WE USE THE INFORMATION

We aim to collect, use and disclose only such information as is required to enable us to provide the Services, including verifying identification and authenticating transactions, to maintain transaction histories and customer lists, to respond to your inquiries or provide feedback, for identification and authentication purposes, and for service improvement. We will maintain the confidentiality of any Personal Information you provide to us on signing up for our Services or contacting us with questions or for further information and we will use it only for the purposes for which we have collected it (subject to the exclusions and disclosures we have listed below), unless you agree that we may disclose it to other third parties.

We use and share Personal Information in the manners described in this Privacy Policy. In addition to the purposes listed above, the information we collect, which may include your Personal Information, is used for the following purposes:

    • To set up your account and to provide the Services;
    • To identify and authenticate your access to certain features of the Services;
    • Resolve disputes, collect fees, and troubleshoot problems;
    • Inform you about service updates and faults;
    • Investigate and prevent potentially prohibited or illegal activities, and enforce our Terms of Service;

    • Protect your and our interests, including to enforce our Terms of Service and investigate, prevent and fight against fraud; and
    • Comply with legal and regulatory requirements.
  1. HOW WE SHARE THE INFORMATION AND FOR WHAT PURPOSE

4.1 Disclosure to Third Parties Other Than Our Users

We will not sell or rent any of your personal information to third parties for their marketing purposes without your explicit consent and will only disclose this information in the limited circumstances and for the purposes described in this Privacy Policy. In certain situations, we may be required to disclose Personal Information in response to lawful requests by public authorities, including meeting national security or law enforcement requirements.

Specifically, you consent to and direct us (and third-party service providers acting strictly on our behalf) to do any and all of the following:

    • Disclose information including, without limitation, transaction information, account information, personal information and the contents of communications to: the police; security forces; competent governmental, intergovernmental or supranational bodies; competent agencies (other than tax-related authorities), departments, regulatory authorities, self-regulatory authorities or organizations; and other third parties that we in good faith believe it is appropriate for us to co-operate with in investigations of fraud or other illegal activity or potential illegal activity, or to conduct investigations of violations of our Terms of Service (including without limitation, your funding source or credit or debit card provider). If you provide false or inaccurate information and fraud is identified, we may pass details to fraud prevention agencies and law enforcement agencies may access and use that information. We and other organizations may also access and use this information (including information from other countries) to prevent fraud and money laundering.
    • Disclose information in response to the requirements of the credit card associations or a civil or criminal legal process.
    • Disclose necessary information to the payment processors, banks, credit card associations, or other service providers necessary to provide the Services you request (these third parties are limited by law or by contract from using the information for secondary purposes beyond the purposes for which the information was shared).
    • Disclose information to your agent or legal representative (such as the holder of a power of attorney that you grant, or a guardian legally appointed for you).
    • Disclose aggregated statistical data with our business partners. For example, we may disclose that a specific percentage of our users live in particular geographies. However, this aggregated information is not tied to Personal Information.
    • As with any other business, it is possible that in the future we could merge with, or be acquired by, another company. If such an acquisition occurs, you consent to the successor company having access to the information maintained by us, including customer account information, and such successor company would continue to be bound by this Privacy Policy unless and until it is amended. You will be notified via email and/or a prominent notice on our website of any change in ownership or uses of your Personal Information, as well as any choices you may have regarding your Personal Information.

4.2 Cookies and How We Use Them

Cookies are used by us to track content usage and traffic on our website and the Services. A cookie is a feature of your web browser that consists of a text file that is placed on your hard disk by a web server. The Services uses cookies to help it compile aggregate statistics about usage of this Services, such as how many users visit the website, how long users spend viewing the Services, and what pages are viewed most often. This information is used to improve the content of the Services. You can set your browser to notify you when you are sent a cookie. This gives you the chance to decide whether or not to accept it. If you disable cookies, you may not be able to take advantage of all the features of the Services. We do not link any of the information we use in cookies to any personally identifiable information submitted by you when you are on the Services.

We may use analytics software to allow us to better understand the functionality of our software on your phone. This software may record information such as how often you use the application, the events that occur within the application, aggregated usage, performance data, and where the application was downloaded from. We do not link the information we store within the analytics software to any personal information you submit within the mobile app.

We retain the information we collect for as long as needed to provide the Services (including aspects of risk management) and to comply with our legal and regulatory obligations, resolve disputes, and enforce our agreements (unless we are instructed otherwise). We may rectify, replenish, or remove incomplete or inaccurate information at any time and at our own discretion.

We take great care implementing and maintaining the security of the Services and your information. We aspire to continuously employ industry standard procedures and policies to ensure the safety of your information and prevent unauthorized use of any such information.

We take technical, contractual, administrative, and physical security steps designed to protect Personal Information that you provide to us. We have implemented procedures designed to limit the dissemination of your Personal Information to only such designated staff as are reasonably necessary to carry out the stated purposes we have communicated to you. Your personal and traffic data can only be accessed by authorized employees of ours or our affiliates, subsidiaries or service providers who need to have access to this data in order to be able to fulfill their given duties.

Although we take reasonable steps to safeguard information, we cannot be responsible for the acts of those who gain unauthorized access or abuse the Services, and we make no warranty, express, implied, or otherwise, that we will manage to prevent such access. IN ORDER TO USE THE SERVICES, YOU WILL BE REQUIRED TO SUBMIT CERTAIN INFORMATION FOR AUTHENTICATION PURPOSES. ALL PERSONAL INFORMATION THAT YOU PROVIDE TO US WILL BE TREATED IN ACCORDANCE WITH OUR PRIVACY POLICY, THE TERMS OF WHICH ARE HEREBY INCORPORATED BY REFERENCE INTO THESE TERMS OF USE. IF YOU DO NOT AGREE WITH THE TERMS OF OUR PRIVACY POLICY, DO NOT USE THE WEBSITE OR SERVICES.

The Services. 9992987 Canada Inc. o/a Localcoin (“Localcoin”) allows users to purchase and/or sell virtual currencies such as bitcoin through digital automated teller machine kiosks (an “ATM”) and via its website at www.localcoinatm.com (the “Website”). The purchase and/or sale of virtual currency through either an ATM or the Website are each a “Service”.
  2. Transactions. When you use a Localcoin Service, you understand that you are instructing Localcoin to purchase or sell digital currency (as the case may be) in exchange for fiat currency (i.e. “cash money”) and to transfer that digital currency to or from a digital wallet address that you input into the ATM or the Website. You understand and agree that you are responsible to conduct your own due diligence regarding any transaction, including identification and verification of the intended recipient, and that any failure to verify the recipient is your sole and exclusive responsibility, and is not the responsibility of Localcoin.    
  3. User Acknowledgement. By using a Localcoin Service (a “User”), you agree and acknowledge that: 
  1. The purchase and sale of any digital currency is a high-risk activity. Digital currencies are subject to unpredictable price fluctuations and the purchase or sale of digital currencies may result in partial or complete loss of funds. As a condition of using our Services, you agree to assume all risk associated with the purchase, sale, trade or exchange of digital currencies and further agree that you will not hold Localcoin liable for the loss of any funds, either fiat or digital, incurred as a result of using our Services. If you do not agree, do not use Localcoin’s Services;
  2. Bitcoin and other digital currencies are not currently considered legal currency, assets or property at law;
  3. Localcoin is not a bank, credit union, trust, or any other kind of financial institution. It is not a deposit taking institution and does not accept deposits from Users, we merely provide a platform through which Users can purchase digital currencies;
  4. Localcoin does not provide securities, investment contracts, or any other document or financial instrument considered at law to be a "security", and the Services we provide do not constitute trading, purchase, sale or exchange in securities, investment contracts or any other document or financial instrument considered to be a "security" at law;
  5. No government agencies or quasi-governmental agencies demand payment by digital currency. You are solely responsible to verify the recipient of any digital currency or fiat currency that you instruct Localcoin to deliver while using a Service. With respect to ATM transactions, you are aware of and have read any warning(s) affixed to or displayed on the ATM and, having read those warnings, completed a transaction at your own discretion.  
  1. Eligibility. In order to use the Services you must be at least eighteen (18) years old, and a Canadian citizen or permanent resident, and residing in Canada at the time you are making purchases. You do not require an account in order to use the Services, however, in order to make purchases on the Website, you will be required to submit a mobile/digital wallet where we can send your bitcoin and a valid Canadian cell phone number registered with a major Canadian carrier in order to authenticate the transaction. You will be required to submit to identity verification in accordance with ‘know your client’ (KYC) requirements under the Proceeds of Crime (Money Laundering) and Terrorist Financing Regulations at specific transaction thresholds.
  2. Updates to User Profile. Localcoin reserves the right to request proof of identification and/or other evidence before updating a User’s profile information.
  3. Payments. Localcoin reserves the right to choose to accept or refuse any method of payment, at any time, at its sole discretion. In cases where Localcoin accepts payments via any third-party payment processing service (a “PPS”), the User agrees that the use of a PPS is subject to the terms and conditions as agreed to solely between the User and that PPS. Localcoin is not a party to any terms of service between the User and PPS. Localcoin is not responsible or liable in any way for any losses, claims, damages, costs, expenses, injuries to person or property, or any other claim arising in connection with the User’s relationship with a PPS, including their use of your personal information. In cases where a PPS may, in certain circumstances charge a foreign exchange fee, such fee is the User’s responsibility to pay.
  4. Transactions Limits. By using the Services, you agree that Localcoin may impose limits on the number of transactions and amount of each transaction, in its sole discretion.
  5. Money Services Business (“MSB”). Localcoin is a registered MSB subject to regulation under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act and as such has compliance obligations including client identification, record keeping and reporting. Localcoin reserves the right to require that you provide identifying information, including KYC  information, details regarding source of funds or supporting documentation in connection with your use of the Services. Sharing your user access credentials is expressly prohibited and will result in immediate cancellation of your access. Localcoin reserves the right in its sole discretion to refuse a transaction, cancel your access to the Services and prohibit you from using our Services indefinitely. Localcoin may do so without providing any reason or explanation.
  6. Authentication. You agree that in order to access the Services, you may be required to provide identifying information which may include, but not be limited to your name, address, date of birth, driver’s license, or other government-issued picture ID (“Personal Information”). You further authorize Localcoin directly, or through third parties to make any inquiry Localcoin deems necessary to verify and validate your identity. For use of the Services on the Website, you may also be required to submit your email address, mobile wallet address, and your cellular phone number. Users may be required to undergo a verification process to verify identity and determine your eligibility to use the Services before a transaction can be completed. Your use of the Services may be delayed during the verification process, and you agree that Localcoin has no responsibility for any loss, delay or other potential or actual harm relating to completion of that process. In the event you are required to provide identifying information or other information and fail to do so, you may be denied access to the Services. Localcoin reserves the right to refuse to process any transaction at any time, if in our sole discretion, if we believe you are or may use the Services for any criminal or illegal activities. In the event that a User fails the initial verification process, Localcoin reserves the right to request identifying information in order to authenticate a User. 
  7. Bitcoin exchange rate. When you make a purchase of digital currency, we will convert your fiat currency into digital currency and deposit your purchased digital currency into your mobile wallet. Localcoin does not set the exchange rate or purchase price for the digital currencies that can be purchased using the Services. Localcoin uses third-party providers to determine the exchange rate of digital currency at the time of each transaction. Rates are determined by many factors, including but not limited to market demand, and Users acknowledge that prices for digital currencies fluctuate on a daily basis. Localcoin does not guarantee any rate or purchase price at any time.
  8. Service Fees. In consideration for providing the Services, Localcoin charges a Service fee. The amount of the service fee we apply varies depending on a number of factors.
  9. No Refunds. You understand and agree that all transactions with Localcoin and/or for the use of any Service is final, and non-refundable. In a case where a User has a dispute with the recipient of digital currency, that dispute is between the User and the third-party recipient. You agree that Localcoin has no liability in respect of your transfer of currency to a third party, and that you are solely responsible to pursue recovery of any disputed funds from the third party.
  10. Promotions. From time to time, Localcoin may offer promotions or discounts in connection with the Services. These promotions are offered at our sole discretion, and we may initiate or terminate a promotion at any time for any reason without notice.
  11. Content. All information, data, text, software, messages or other materials, whether publicly posted or privately transmitted to the Website by Users ("User Content"), is the sole responsibility of such Users. This means that the User, and not Localcoin, are solely and entirely responsible for all such material uploaded, posted, emailed, transmitted or otherwise made available by using the Service. Localcoin does not control or actively monitor User Content and, as such, does not guarantee the accuracy, integrity or quality of such content. Under no circumstances will Localcoin be liable in any way for any materials, including, but not limited to, any errors or omissions in any materials or any defects or errors in any printing or manufacturing, or for any loss or damage of any kind incurred as a result of the viewing or use of any materials posted, emailed, transmitted or otherwise made available via the Service.
  12. Restrictions on User Content and Use of the Service. Localcoin reserves the right at all times (but has no obligation) to remove or refuse to distribute any User Content and to terminate users or reclaim usernames. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to: (i) satisfy any applicable law, regulation, legal process or governmental request; (ii) enforce these Terms of Use, including investigation of potential violations hereof; (iii) detect, prevent, or otherwise address fraud, security or technical issues; (iv) respond to user support requests; or (v) protect the rights, property or safety of our users and the public.

In using the Website and/or Service, You shall not:

  1. Use the Website and/or Services in violation of the terms of this Agreement, including in violation of the eligibility requirements;
  2. Use the Website and/or Services for any illegal, criminal and/or fraudulent purpose;
  3. copy any content unless expressly permitted to do so herein;
  4. upload, post, email, transmit or otherwise make available any material that:
  1. is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful, or racially or ethnically objectionable, encourages criminal behavior, gives rise to civil liability, violates any law, or is otherwise objectionable;
  2. You do not have a right to make available under any law or under a contractual relationship;
  3. infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party (including privacy rights);
  4. is or contains unsolicited or unauthorized advertising, solicitations for business, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
  5. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or data or the Website or that of any users or viewers of the Website or that compromises a user's privacy; or
  6. contains any falsehoods or misrepresentations or create an impression that You know is incorrect, misleading, or deceptive, or any material that could damage or harm minors in any way;

  2. interfere with or disrupt the Website or servers or networks connected to the Website, or disobey any requirements, procedures, policies or regulations of networks connected to the Website or probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;
  3. interfere with, damage, harm, obstruct, deface, modify, disassemble, disconnect or otherwise deal with an ATM in any manner whatsoever other than for the purpose of conducting a transaction;
  4. intentionally or unintentionally violate any applicable local, state, national or international law or regulation;
  5. collect or store personal data about other users or viewers;
  6. license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Website;
  7. modify, translate, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any software provided as part of the Website, except to the extent the foregoing restrictions are expressly prohibited by applicable law; or
  8. register for the Service on behalf of a group or corporate entity.

Localcoin reserves the right, in our sole discretion to restrict, suspend or terminate your account and/or use of Services if we discover or have a good faith reason to believe you have violated any of these terms of use, including this Section 14.

IN NO EVENT SHALL LOCALCOIN'S TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY, OR OTHER CAUSE OF ACTION, ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES, WEBSITE, LOCALCOIN APP OR OTHERWISE DO BUSINESS WITH LOCALCOIN OR DO ANY ACT IN ACCORDANCE WITH THESE TERMS OF SERVICE, EXCEED THE GREATER OF: (A) THE FEE ACTUALLY PAID BY YOU TO LOCALCOIN (IF ANY) IN RESPECT OF THE IMPUGNED TRANSACTION; OR (B) THE TOTAL AMOUNT YOU HAVE PAID IN SERVICE FEES TO LOCALCOIN IN THE 6 MONTHS IMMEDIATELY PRECEDING THE DATE OF ANY CLAIM GIVING RISE TO SUCH LIABILITY. THE LOCALCOIN PARTIES SHALL HAVE NO LIABILITY TO YOU ARISING OUT OF OR RELATING TO ANY DATA BREACH AFFECTING THE LOCALCOIN SERVICE, WEBSITE, ATMs, OR SYSTEMS IF LOCALCOIN HAD IN PLACE COMMERCIALLY REASONABLE AND STANDARD SECURITY PROCEDURES AT THE TIME OF SUCH BREACH.

  1. INDEMNIFICATION. YOU SHALL INDEMNIFY AND HOLD LOCALCOIN AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, AND EMPLOYEES, HARMLESS FROM ALL CLAIMS, ACTIONS, PROCEEDINGS, DEMANDS, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE LAWYERS’ FEES), INCURRED IN CONNECTION WITH ANY MATERIALS SUBMITTED, POSTED, TRANSMITTED OR MADE AVAILABLE BY YOU THROUGH THE SERVICE AND/OR ANY VIOLATION BY YOU OF THESE TERMS OF USE.
  2. Termination. Localcoin may, in its sole discretion and without prior notice, immediately terminate Your ability to access the Services, the Website or portions thereof. Cause for such termination may include, but not be limited to: (a) breaches or violations of these Terms of Use or any other agreement that You may have with Localcoin (including, without limitation, non-payment of any fees owed in connection with your use of Services or otherwise owed by You to Localcoin); (b) requests by law enforcement or other government agencies; (c) a request by You; (d) discontinuance or material modification to the Website (or any part thereof) or offer of Services; (e) unexpected technical, security or legal issues or problems; and/or (f) participation by You, directly or indirectly, in fraudulent or illegal activities. Termination of Your access to the Service and/or Website may also include removal of some or all of the materials uploaded by You to the Website. You acknowledge and agree that all terminations may be made by Localcoin in its sole discretion and that Localcoin shall not be liable to You or any third-party for any termination of Your access to the Services or the Website or for the removal of any of the materials uploaded by You to the Website. Any termination of these terms of use by Localcoin shall be in addition to any and all other rights and remedies that Localcoin may have.
  3. Availability & Updates. Localcoin may alter, suspend, or discontinue the Service or Website at any time and for any reason or no reason, without notice. The Website or Service may be unavailable from time to time due to maintenance or malfunction of computer or network equipment or other reasons. Localcoin may periodically add or update the information and materials regarding the Service or the Website without notice.

You are responsible for safeguarding the password that you use to access the Service and you are responsible for any activities or actions under your password. You agree to keep your password secure. Localcoin will not be liable for any loss or damage arising from your failure to comply with these requirements.
